The Registrar of Companies has no power to extend the statutory period for filing annual returns. Even if the last day of the submission period falls on a Saturday, the deadline remains unchanged.

What happens if the annual return is not submitted or is submitted late?

If a local private company fails to file its annual return within the prescribed period, it will face the following penalties:

  • More than 42 days but not more than 3 months after the return date: $870 penalty
  • More than 3 months but not more than 6 months after the return date: $1,740 penalty
  • More than 6 months but not more than 9 months after the return date: $2,610 penalty
  • More than 9 months after the return date: $3,480 penalty

 

According to Section 662 of the Companies Ordinance, companies and their responsible persons who fail to comply with this provision may be prosecuted. If convicted, you will face a default fine of up to HK$50,000 for each default. If you continue to default, you may be fined HK$1,000 on a daily basis.
