Under the Listing Rules and the GEM Listing Rules, all companies listed in Hong Kong are required to appoint a natural person as company secretary. The person must have the following skills:
- Good communication skills: able to communicate effectively with the board, management and external stakeholders.
- Coordination skills: Able to coordinate the work of different departments within the company to ensure that the company's operations comply with regulatory requirements.
- Organisational skills: Able to effectively organise and manage company meetings and related documentation.
- Management skills: Ability to manage the company's compliance affairs and ensure that the company complies with relevant laws and regulations.
In addition, the person must be recognised by HKEX as having the appropriate academic or professional qualifications or relevant experience to perform the duties of company secretary. Recognised academic or professional qualifications accepted by HKEX include (but are not limited to)
- a member of the Hong Kong Chartered Governance Institute;
- a solicitor or barrister as defined in the Legal Practitioners Ordinance;
- an accountant as defined in the Professional Accountants Ordinance.

- Assisting in the preparation and publication of Environmental, Social and Governance Report (ESG) of the Company.
